1. Definitions

For the purposes of these Terms and Conditions: "Frihet" or "the Service" refers to the enterprise resource planning (ERP) software platform provided as a service (SaaS) by Victor Berthelius, a self-employed professional, under the trade name Frihet. "User" refers to any individual or legal entity that accesses, registers, or uses the Service. "Account" refers to the User's personal workspace within the platform. "Plan" refers to the subscription tier selected (Free, Pro, Business, or Enterprise). "User Content" refers to all data, documents, invoices, and other information entered by the User into the platform.

2. Service Description

Frihet is a cloud-based business management platform designed for freelancers, self-employed professionals, and small and medium-sized enterprises. The Service includes, among other features: invoice and quote creation and management, expense management with optical character recognition (OCR), financial dashboard, basic CRM, bank reconciliation, accounting exports, automations, and an artificial intelligence assistant. Available features depend on the Plan selected by the User.

3. Registration and User Account

Using the Service requires creating an Account with truthful, complete, and up-to-date information. The User is solely responsible for maintaining the confidentiality of their login credentials and for all activities carried out under their Account. The User agrees to immediately notify Frihet of any unauthorized use of their Account. Frihet reserves the right to suspend or cancel Accounts containing false information or violating these Terms.

4. Plans and Pricing

Frihet offers the following plans: Free (no charge, with usage limitations), Pro (EUR 19/month or EUR 190/year), Business (EUR 39/month or EUR 390/year), and Enterprise (custom pricing). Stated prices do not include applicable taxes (VAT). Frihet reserves the right to modify prices with at least 30 days' prior notice to the User. Price changes will take effect in the next billing period.

5. Billing and Payments

Payments are processed securely through Stripe. Subscriptions are billed on a recurring basis (monthly or annually) according to the selected Plan. The User authorizes Frihet to charge the registered payment method accordingly. In case of non-payment, Frihet may suspend access to the Service after a grace period of 7 calendar days. All paid plans include a 14-day free trial.

6. Acceptable Use

The User agrees to use the Service in compliance with applicable law, these Terms, and good faith. The following is prohibited: using the Service for illegal or fraudulent activities; attempting to access other users' data without authorization; reverse-engineering, decompiling, or disassembling any part of the Service; using the Service to send spam or malicious content; intentionally overloading the Service infrastructure; reselling or redistributing the Service without Frihet's express authorization.

7. Intellectual Property

The Service, including its source code, design, interface, logos, text, and other elements, is the exclusive property of Victor Berthelius or its licensors and is protected by applicable intellectual and industrial property laws. The User retains all rights to their User Content. By using the Service, the User grants Frihet a limited, non-exclusive, and revocable license to process such content solely for the purpose of providing the Service.

8. Limitation of Liability

Frihet provides the Service "as is" and "as available." To the maximum extent permitted by law, Frihet shall not be liable for: indirect, incidental, special, consequential, or punitive damages; loss of profits, data, or revenue; service interruptions caused by factors beyond its reasonable control. Frihet's total cumulative liability shall in no event exceed the total amount paid by the User during the 12 months preceding the event giving rise to the claim. Frihet does not replace professional tax or accounting advice.

9. Cancellation and Refunds

The User may cancel their subscription at any time from the billing panel in their Account. Cancellation takes effect at the end of the current billing period, with access to the Service maintained until that date. No refunds are issued for partial billing periods already invoiced. After cancellation, the User has 30 days to export their data before it is deleted from our systems. Under the Free plan, the Account remains active with the limitations of that plan.

10. Changes to the Terms

Frihet reserves the right to modify these Terms and Conditions. Any material changes will be communicated to the User at least 30 days in advance via the email address associated with their Account. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If the User disagrees with the changes, they may cancel their subscription before the changes take effect.

11. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with Spanish law. For the resolution of any dispute arising from the interpretation or performance of these Terms, the parties submit to the Courts and Tribunals of the city of Madrid, expressly waiving any other jurisdiction, without prejudice to the rights of the User as a consumer under applicable law.
